Terms of Service & Licence Agreement

These Terms govern your purchase and use of BlomsetPOS — the point-of-sale software, the licence keys, the website at pos.blomsettechnologies.com, the customer account and the cloud services (together, the "Service"). BlomsetPOS is owned by Blomset Enterprises Limited (RC 8133001), trading as Blomset Technologies, a company registered in the Federal Republic of Nigeria, of Mailing Address: Baba Adisa, Ibeju-Lekki, Lagos State, Nigeria ("we", "us", "our").
By buying a licence, activating BlomsetPOS or using the Service, you ("you", the business that bought the licence) agree to these Terms and to our Privacy Policy. If you don't agree, don't buy or use the Service.
1. Definitions
- Software — the BlomsetPOS program installed on your computer, including any updates we provide.
- Licence — your right to use the Software, identified by a Licence Key (e.g. BPOS-XXXX-XXXX-XXXX-XXXX).
- Plan — Basic, Professional or Enterprise, each with the features and limits (branches, tills, staff accounts) shown on our pricing page when you bought or last renewed.
- Activation — linking your Licence Key to a specific computer.
- Cloud Services — services that run on our servers: licence checks, cloud backup, remote reports and the customer account.
- Updates & Cloud Period — for a Lifetime Licence, the period during which new versions of the Software and Cloud Services are included.
- Your Data — everything you or your staff enter into BlomsetPOS: products, stock, sales, customers, staff, settings and reports.
2. Your licence
When you have paid, we grant you a non-exclusive, non-transferable licence to install and use the Software for your own business, within the limits of your Plan, for as long as your Licence is valid under these Terms. You may not:
- share, resell, rent or publish your Licence Key, or use one Licence for a different business;
- activate the Software on more computers than your Licence allows (normally one main computer);
- copy, modify, decompile, reverse-engineer or remove the licence checks from the Software, except where the law expressly allows it;
- use the Service for anything unlawful.
The Software is licensed, not sold. We (and our licensors) keep all intellectual property rights in it.
3. Yearly licences (all plans)
- A yearly Licence is valid for 12 months from purchase, and includes updates and the Cloud Services in your Plan.
- We email reminders before it ends (normally 7 days and 1 day before). Renewing early never loses time: the new 12 months start when the current period ends.
- After the end date there is a grace period (shown for your Plan; currently 7 days) in which you can keep selling while you renew.
- If the Licence is not renewed by the end of the grace period, the Software stops opening new shifts. A shift already open can be finished. You can still view and export Your Data, run reports and make backups — you never lose access to Your Data.
- Renewal is at the price shown at the time you renew. If you switch on automatic renewal, we charge your saved card shortly before the end date; you can switch it off at any time in your account.
4. Lifetime licences (all plans)
A Lifetime Licence is paid once and does not expire. It includes:
- Permanent use of the Software — every version released to you during your Updates & Cloud Period — on the computer(s) your Licence allows, for as long as that version runs on your computer and operating system.
- An Updates & Cloud Period of 12 months from purchase, during which you receive new versions, security fixes and the Cloud Services in your Plan (cloud backup and remote reports).
When the Updates & Cloud Period ends you can choose to:
- Renew updates & cloud services for another 12 months at the yearly fee shown in your account at that time; or
- Not renew — the Software keeps working exactly as it is, including selling, stock, reports and local (USB / folder) backups. You will not receive new versions, and cloud backup and remote reports stop. Cloud backups already stored are kept for 30 days so you can download them. You can renew updates & cloud services again later.
"Lifetime" means the life of your Licence for the version(s) you are entitled to, not a promise that every future version will support every older computer or operating system.
5. Activation, online checks and moving computers
- Activation needs an internet connection once. After that the Software works offline.
- The Software checks your Licence with our servers when it is online (normally daily), and must do so at least once every 30 days to keep selling. This is how renewals, upgrades and plan changes reach your shop.
- To move to a new computer, deactivate the old one (Settings → Licence) or release it in your account, then activate the new one with the same key.
- Setting the computer's clock back, copying an activated installation to another computer, or tampering with the licence will stop the Software from selling until it is activated properly.
6. Prices and payment
- Prices are shown and charged in Nigerian Naira (or the local currency shown at checkout in other countries), through Paystack or Flutterwave.
- Prices may change; a change applies to future purchases and renewals, never to a period you have already paid for.
- Upgrades are charged only for the difference: during a yearly Licence for the time remaining (your end date stays the same); from a lifetime Licence to a higher plan's lifetime Licence, the difference between the two lifetime prices.
- You are responsible for any bank or card charges and for taxes that apply to your purchase, unless shown as included.
- Chargebacks or fraudulent payments may lead to the Licence being suspended or revoked.
7. Refunds
- You may request a full refund within 7 days of your first purchase if the Licence Key has not been activated on any computer.
- Once a Licence has been activated, and for renewals, upgrades and updates & cloud renewals, payments are not refundable — except where Nigerian consumer law requires otherwise, or where we cannot provide the Service you paid for.
- To request a refund, email support@blomsettechnologies.com with your order number. Approved refunds are paid back to the original payment method and the Licence is revoked.
8. Your Data and backups
- Your Data belongs to you. It is stored on your own computer. We do not see it unless you send it to us (for example when asking for support).
- Cloud backups are encrypted on your computer with a backup password that only you know. We cannot open them — and if you lose that password, we cannot recover your backups.
- Remote reports are only sent if you switch them on, and contain totals and short lists (sales totals, top products, low stock, shift and refund summaries), not your full sales records.
- You are responsible for keeping your computer, Windows and your backups safe. We strongly recommend backups to a second drive or USB stick in addition to cloud backup.
9. Tax and records
BlomsetPOS helps you calculate taxes such as VAT using the rates you choose in its settings. You remain responsible for choosing the correct rates, for the accuracy of your records, and for filing and paying your taxes.
10. Support
We provide support by WhatsApp and email, Monday to Friday, 9am – 5pm (West Africa Time). We aim to respond to critical issues within 24 hours and other issues within 2 business days. Installation help, data import and staff training may be offered as paid extras.
11. Suspension and termination
We may suspend or revoke a Licence if you breach these Terms, misuse a Licence Key, or a payment is reversed or fraudulent. Where possible we will tell you first and give you a chance to fix it. You may stop using the Service at any time. Sections 8, 12 and 13 continue after termination.
12. Warranty and liability
We build BlomsetPOS with care, but the Service is provided "as is". To the extent the law allows, we do not guarantee that it will be error-free or uninterrupted, and we are not liable for loss of profit, loss of business, or loss of data that a reasonable backup would have prevented. Our total liability for any claim is limited to the amount you paid us for the Licence in the 12 months before the claim. Nothing in these Terms limits any liability that cannot be limited by law.
13. Changes, law and disputes
We may update these Terms; the version on this page applies, and we will email you about significant changes. These Terms are governed by the laws of the Federal Republic of Nigeria. We will first try to resolve any dispute informally; if that fails, it will be settled by mediation or arbitration in Lagos State, or by the courts of Lagos State.
